NORTHPORT RIDGE RIDERS, INC. By-Laws

As Amended January 25, 1996

ARTICLE I

Sec. 1 The name of this organization shall be Northport Ridge Riders Inc.

Sec. 1 Location: Northport,Maine.

ARTICLE II

Affiliation

Sec. 1 This organization shall be affiliated with the Maine Snowmobile Association.

ARTICLE III

Purposes

Sec. 1 The purposes of this organization are to provide for the mutual assistance, enjoyment, entertainment and improvement of its members, socially, and physically by sponsoring recreational activities and programs: to promote goodwill between snowmobile operators, landowners, law enforcement officers and agencies. The organization is not for profit, and no part of the net earnings, if any, shall be used for the benefit of any member, other then when a special event is sponsored to assist an individual or family in need, and most, be active and support your club.

Sec. 2 In the event of liquidation or dissolution, whether voluntary or involuntary, no member shall be entitled to any distribution or division of the remaining property or its proceeds, and after all debts and obligations are met,the balance, if any, shall be distributed within the intent of Section(c) (7) 501 of the Internal Revenue Code, and its Regulations as the same now exists or as hereafter amended.

ARTICLE IV

Membership

Sec. 1. Any person of good character shall become a member upon Application to the Secretary and payment of one year dues.

Sec. 2. Membership shall consist of two classes.

a. Family membership shall include husband and wife and their children under 18 years of age. Each adult member shall be entitled to one vote.
b. Associate membership shall include members of other clubs, who wish to be associated with this club and will pay dues set forth in Article VII, Sec. 1.

Sec. 3. Each Associate member shall be entitled to one vote.

Sec. 4. Any club or club member who is convicted of a felony, commits any act which could reflect on the integrity of the organization , or while operating a snowmobile, violates state or municipal law or regulations, shall have his or her club membership terminated..

ARTICLE V

Officers

Sec.5. The officers will be President, Vice-President, Secretary, Treasurer, Safety Officer, Trail Master,Assistant Trailmaster, M.S.A.Director, P.R.Director

Sec. 2. The officers will be elected for a term of one year at the annual meeting by majority vote of the membership present. The officers will serve until their successors have been elected and qualified.

Sec. 3. No member will be eligible for election as an officer or director if he/she hasn't paid his/her dues for that year in which he/she would serve.

Sec. 4. The President shall preside at all meetings of the club and it's Board of Directors, shall appoint such committees as authorized by the members, shall be a member ex-office of all committees,and shall carry on those responsibilities assigned to him by the by-laws and the membership.

Sec. 5. The Vice-President during the absence or temporary incapacity of the President,shall perform the duties,and have the powers of the President,and shall not be on the board of directors.

Sec. 6. The Secretary shall keep all of the clubs records other than financial, including minutes and attendance records of meetings, roster of members, lists of committees and their members and discharge all of the usual secretarial functions of the office required by the by-laws or the membership.

Sec. 7. The Treasurer shall keep the accounts of the club and have charge of it's funds. He/She shall keep all of the clubs funds in a bank approved by the membership and in the name of the club, subject to withdrawal by checks signed in such manner as approved by the membership. All expenditures other then monthly operating expenses, must be approved by the membership. A Treasurer's report shall be prepared and presented at each regular meeting.

SEC.8. The Trailmaster will be in charge of grooming, trail work and making out trail grants for the year. The Trailmaster if desired will choose an assistant trailmaster for the coming year.

SEC.9. The Safety 0fficer will work with the trailmaster, and frequently look at all trails & trail signs for safety and report to the trailmaster. He/She should show some safety films,and have safety workshops and talk about safety to the club.

Sec.10. The MSA Director will attend monthly MSA meetings and report to the club at the next club meeting.

Sec.11 The P.R.Director will write in the MSA paper each month and write in newspaper columns and report all news to the public.

ARTICLE VI

Government

Sec. 1. The governing body of this organization shall be the Board of Directors.

Sec. 2. The Board of Directors shall consist of a three (3)Directors.

Sec. 3. The newly elected officers of this organization may make up the Board of Directors.

ARTICLE VII

Dues.

Sec. 1 The Annual Dues for membership will be determined at the September meeting.

ARTICLE VIII

Fiscal Year

Sec. 1. The fiscal year of this organization shall commence October 1st and shall end September 30th of the following year.

ARTICLE IX

Meetings

Sec. 1. Annual meetings of this club shall be held the first Sunday in September of each year to elect Officers.

Sec. 2. Regular club meetings shall be held on the first Sunday of each month, at a time set by the previous meeting. Directors meetings to be held 15 minutes prior to the monthly meeting except June, July, August.

Sec. 3. Special meetings of the club may be called by the Board of Directors, or by the President or by request of an active member by giving 3 days notice of the time, place, and purpose of such special meeting.

Sec. 4. Twenty-Five (25%) percent of the active members, shall constitute a quorum. A quorum shall be present for this organization to transact official business.

Sec. 5. Any formal action taken at any meeting of the membership shall required a majority vote of those active members present.

ARTICLE X

Elections

Sec. 1. The president shall recommend 3 board members at the annual meeting with the membership present.

Sec. 2. No member of the nominating committee shall be eligible to any office by action of the nominating committee.

Sec. 3. Additional names may be placed in nomination at any time from the floor prior to voting for each office.

Sec. 4 Voting shall be by ballot, unless only one candidate has been nominated.

ARTICLE XI

Amendments

Sec. 1. These by-laws may be amended, altered or repealed by two- thirds (2/3) vote of the membership present at any regular meeting, or special meeting, provided that each member has had sufficient notification of the time and place of such meeting.
